Featured Artist Agreement

As of June 13, 2017, you (as used herein “you”, “You”, or “your” shall refer to the featured artist) have offered to make your designs available to be sold through Interior Ink on the website (the “Site”) as fabric, wall coverings, shades, and other products available for custom print (the “Collaboration”). Participation in the Collaboration is optional and available to anyone who agrees to the terms of this Agreement. This agreement (the “Agreement”) will explain the terms that regard the availability of your designs within the structure of the Collaboration. This Agreement is in addition to any obligations made under the Interior Ink’s Terms of Service (the “Terms”) which is included herein by reference. Any defined term in the Agreement that is not otherwise defined here shall have the meaning ascribed to it in the Terms.

By providing Interior Ink with designs to be used in Collaboration, you are indicating that you consent to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, you will not be allowed to participate in the Collaboration nor have a featured artist page on the Site.

Interior Ink reserves the right to modify or add to this Agreement at its discretion. Interior Ink may notify you of changes made, but it is solely your responsibility to keep up to date with the Agreement. No response from you shall signify your acceptance and consent to be bound by the amended Agreement. If you don’t agree to the amended Agreement, or if you ever have any questions about this Agreement, contact us at service@interiorink.com.

CONTENT

Participation in the Collaboration is optional and open to all artists who opt in and agree to the terms of this Agreement. To add Content to be made available for purchase on the Site, you must send or transfer original digital copies of designs that meet minimum standards, as defined by Interior Ink, to Interior Ink at service@interiorink.com.

You will be required to include a photograph of yourself and a short autobiography. For each design, you will be required to include a name, description, and tags to help the customers find the design. All patterns must be seamless and sent in vector format to allow Interior Ink to customize colors. This is to uphold Interior Ink’s standard of offering a customized and unlimited color palette.

You will retain ownership of any and all copyrights attached with the original designs you submit, but Interior Ink requires rights to use the designs including but not limited to print, sell as a printed product, and advertise with these designs. In order to improve printing quality, Interior Ink, may at its discretion adjust or modify your Content to achieve optimal results.

As with any other Content, you represent that you own or otherwise are authorized to use the design you are submitting. You further agree that the use or sale of the design will not violate the copyright, trademark, or other proprietary rights of any third-party. Further, you will not use any third-party trademark, trade names, or publicity rights in connection with the name, description, or tags associated with your design that may result in confusion as to the source of the design. Interior Ink reserves the right to modify, block, edit, or delete any design, term or terms used to promote a design if it believes, in its exclusive discretion that the use may violate a third-party right or is otherwise objectionable.

By opting into this Collaboration, you also agree to provide your accurate and up-to-date address and contact information. You may be asked from time-to-time to provide current information or verify that information you have previously provided is correct. Failure to timely provide accurate and up-to-date information will result in the temporary suspension of your Featured Artist page on the Site. Once information is updated or verified, your suspension will be lifted, and your page will be made available again.

It is to your discretion to order a sample of designs to verify the colors, design, and other aspects have been reproduced correctly. Should you choose to participate in this action, you are responsible for the costs associated with ordering and receiving the sample(s) at full market price, and will not receive a commission or royalty for your order of a sample.

PAYMENT

By opting to participate in Collaboration, you agree that:

  • Interior Ink, exclusively, will set the prices for the products, regardless if they bear your design, to be sold on the Site.
  • For all products bearing your Content sold, you will receive a commission or royalty of the profit resulting from the sale. The amount of commission or royalty will be equal to ten percent (10%) of the price paid by the buyer (“Royalties”). If sales of products bearing your Content exceed certain levels in any single given month, you will receive bonus royalties, as shown below, in addition to the basic Royalties. If a total monthly sale involving your Content falls between the following groups, you will receive the designated additional royalty for that month:
    • between $3,000 and $9,999 – an additional 1% in Royalties
    • between $10,000 and $14,999 – an additional 3% in Royalties
    • $15,000 or more – an additional 5% in Royalties

Royalties will be paid out once a month. Any bonuses will be calculated at the end of the month based on the total monthly sales and if earned, will be included in the payment for the following month.

  • If you purchase products using your own designs, you will not receive any royalties on that purchase. Instead, you will receive a ten percent (10%) discount off of the price of the product.
  • In the event of a product that is returned or refunded, you will not receive a royalty. If Interior Ink has already paid you for products that are then returned, these amounts will be deducted from the next scheduled Royalty payment.

Interior Ink will send Royalties earned to you once every month via PayPal. It is solely your responsibility to create and maintain a PayPal account and to ensure the associated account information is current and correct. You must agree to abide by PayPal’s own terms of service and privacy policy and your actions of your account with PayPal will be managed under their subsequent policies. At the previously mentioned time, Interior Ink will send a payment using the PayPal information you provide in connections with your account. The minimum amount earned in order to receive a payment from Interior Ink must be at least ten dollars ($10.00). If the Royalty amount earned does not meet the minimum amount, Interior Ink reserves the right to roll over the accumulated Royalties to the following month or until the minimum total is reached. If Interior Ink is unable to successfully transfer funds to your PayPal account, and is unable contact you, within a reasonable amount of time using the most updated information you have provided (as defined previously in this Agreement), your Featured Artist page on the Site will be suspended. If you fail to make contact with Interior Ink, again within a reasonable amount of time, you will automatically forfeit your participation in this Collaboration. At this point, Interior Ink reserves the right to close down your Featured Artist page on the Site. Interior Ink may also charge a termination fee equal to the unpaid amount of Royalties. You hereby agree that this fee is acceptable and reasonable.

TAX DOCUMENTATION & REQUIREMENTS

According to Georgia and United States law, it is required that Royalties earned must be declared as income. Please consult your tax advisor or the IRS website for more information on how to declare your Royalties earnings.

Interior Ink requires its Featured Artists to provide certain tax information. You agree to provide accurate tax information upon request by Interior Ink, such information shall include but is not necessarily limited to, your complete and correct name (the business name for a legal entity), and tax ID, Social Security number or Tax Identification number (as applicable).

Failure to provide complete and accurate tax information will result in default of this Agreement. Your page in relation to the Collaboration will not be made live and your participation in this program will be forfeited. If any Royalties have been made prior to termination, Interior Ink may charge a termination fee, as referenced in the previous section.

By January 31st the following year, Interior Ink will send out 1099-misc forms for all Artists that receive at least $10 or more in Royalties in a year. We require you to submit the correct form prior to the activation of your Featured Artist page on the Site.

INDEMNIFICATION POLICY

You agree to defend, indemnify and hold Interior Ink and Interior Ink’s officers, directors, employees, and other Representatives harmless from all judgments, awards, losses, liabilities, costs, expenses, including but not limited to reasonable attorney’s fees, expert witness fees, and costs of litigation arising out of or based on: (a) a third-party claim that any design offered for sale through Collaboration or the Content associated with the design, violate intellectual property right of the third-party; (b) Any of your designs available to be sold through the Site; (c) your failure to pay your tax obligations from your Royalties on a sale; or (d) your violation of this Agreement.

DISCLAIMER OF WARRANTY

COLLABORATION, THE SITE AND THE INFORMATION, SERVICES, PRODUCTS, AND MATERIALS AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, INTERIOR INK AND ITS REPRESENTATIVES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF TITLE, OR IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM INTERIOR INK OR FROM THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

INTERIOR INK DOES NOT MAKE ANY WARRANTY THAT (A) CONTENT OR ANY PRODUCTS ORDERED THROUGH THE SITE WILL MEET YOUR REQUIREMENTS, OR (B) THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, OR (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR SOLD BY YOU THROUGH COLLABORATION OR THE SITE WILL MEET YOUR EXPECTATIONS.

PRIVACY POLICY

Your privacy is very important to us at Interior Ink. Information concerning the data we collect and store and how that information is used is set forth in the Privacy Policy. By participating in the Collaboration, you expressly consent to Interior Ink’s use of your personal information (including the use of email to communicate to you) as described in the Privacy Policy, which is incorporated herein by reference.

MISCELLANEOUS

All other terms applicable for Collaboration or any other features of the Site are included in the Terms of Service.

At the discretion of Interior Ink and based upon our current need, Interior Ink reserves the right to deny any person or person(s) a spot in the Featured Artist section on the Site.
